Terms of service

Overview

Welcome to Steadfast. The terms "we", "us" and "our" refer to Steadfast. Steadfast operates this store and website, including all related information, content, features, tools, products and services, in order to provide you, the customer, with a curated shopping experience (the "Services"). Steadfast is powered by Shopify, which enables us to provide the Services to you.

The terms and conditions below, together with any policies referenced within them (these "Terms of Service" or "Terms"), describe your rights and responsibilities when you use the Services.

Please read these Terms of Service carefully, as they include important information about your legal rights and cover areas such as our liability to you.

Nothing in these Terms affects your statutory rights as a consumer. If you are buying as a consumer, you have legal rights under the Consumer Rights Act 2015, the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, and other consumer protection law. Nothing in these Terms limits or removes those rights. Where anything in these Terms conflicts with your statutory rights, your statutory rights take precedence.

By visiting, interacting with or using our Services, you agree to be bound by these Terms of Service and our Privacy Policy [LINK]. If you do not agree to these Terms of Service or Privacy Policy, you should not use or access our Services.

Section 1 — Access and Account

By agreeing to these Terms of Service, you confirm that you are at least 18 years old, and that you consent to any minor dependents in your care using the Services on devices you own, purchase or manage, under your supervision.

To use the Services, including browsing our online store or purchasing any of the products or services we offer, you may be asked to provide certain information, such as your email address and your billing, payment and delivery details. You confirm that all the information you provide is correct, current and complete, and that you have all rights necessary to provide it.

You are responsible for keeping your account credentials secure and for activity that takes place under your account. You may not transfer, sell, assign or license your account to anyone else.

Section 2 — Our Products

We have made every effort to represent our products and services accurately in our online store. However, please note that colours and product appearance may differ from how they appear on your screen, depending on the device you use and your device settings.

Minor variation of this kind does not mean a product is faulty. Your statutory rights — including your right to receive goods that match their description and are of satisfactory quality — are unaffected by this section.

All product descriptions are subject to change at any time at our discretion. We reserve the right to discontinue any product at any time and to limit the quantities of any products we offer to any person or region, on a case-by-case basis.

Section 3 — Orders

When you place an order, you are making an offer to purchase. Steadfast may accept or decline your order at its discretion. Your order is not accepted until we confirm acceptance, and we must receive and process your payment before your order is accepted. If we do not accept, change or cancel an order, we will try to notify you using the email address, billing address and/or phone number you provided at the time of the order.

Because every Steadfast is made to order, please review your order carefully before submitting it. Once an order is accepted and production begins, we may be unable to change or cancel it, as your chair is being made specifically for you.

Returns, cancellation and refunds. Your rights to return, cancel or receive a refund are set out in full in our Refund Policy [LINK], which forms part of these Terms. In summary:

  • Because each Steadfast is a bespoke, made-to-order item, the standard 14-day right to cancel under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 does not apply once your order is confirmed and production has begun. This is a lawful exemption for goods made to a consumer's specification.
  • This does not affect your rights if your chair arrives faulty, damaged or not as described. In those cases you are entitled to a repair, replacement or refund under the Consumer Rights Act 2015, as set out in our Refund Policy.

Please see our Refund Policy [LINK] for the full detail, including how to report a problem and the timeframe for doing so.

Section 4 — Prices and Billing

Prices, discounts and promotions are subject to change without notice. The price charged for a product will be the price in effect at the time your order is placed, as set out in your order confirmation email. Unless stated otherwise, posted prices include VAT where applicable but do not include delivery charges, which will be shown before you complete your order.

Prices in our online store may differ from prices offered elsewhere. From time to time we may run promotions governed by separate terms; where those terms conflict with these Terms, the promotion terms apply to that promotion.

You agree to provide current, complete and accurate purchase, payment and account information for all purchases, and to keep that information up to date so we can complete your transactions and contact you as needed.

You confirm that: (i) the payment information you provide is true, correct and complete; (ii) you are authorised to use the payment method for the purchase; and (iii) you will pay the amounts due at the posted prices, including delivery charges and any applicable taxes.

Section 5 — Delivery

All delivery times are estimates and are not guaranteed. We will deliver your order within a reasonable time and, in any event, within 30 days of the date your order is accepted, unless we agree a different date with you.

We are responsible for your goods until they are delivered to the address you gave us, at which point responsibility passes to you. If you have asked for delivery to a third party or a specified safe place, responsibility passes on delivery there. Nothing in this section affects your statutory rights in respect of delivery.

Section 6 — Intellectual Property

Our Services — including all trade marks, brands, text, displays, images, graphics, product reviews, video and audio, and their design, selection and arrangement — are owned by Steadfast, its affiliates or its licensors, and are protected by intellectual property laws in the UK and elsewhere.

These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store or transmit any material from the Services without our prior written consent. Except as expressly provided in these Terms, nothing grants you any licence or rights under any patent, trade mark, copyright or other intellectual property of Steadfast, Shopify or any third party. All rights not expressly granted are reserved by Steadfast.

Steadfast's names, logos, product and service names, designs and slogans are trade marks of Steadfast or its affiliates or licensors, and you must not use them without our prior written permission. Shopify's name, logo, product and service names, designs and slogans are trade marks of Shopify. All other names, logos, product and service names, designs and slogans on the Services are the trade marks of their respective owners.

Section 7 — Optional Tools

You may be given access to third-party tools as part of the Services, which we do not monitor and over which we have no control or input.

We provide access to such tools "as is" and "as available", without warranties, representations or conditions of any kind and without endorsement, and we accept no liability arising from your use of optional third-party tools. Any use of these tools is at your own risk, and you should make sure you are familiar with, and approve of, the terms on which they are provided by the relevant third party.

We may also offer new features through the Services in future, including new tools and resources. These will also form part of the Services and will be subject to these Terms of Service.

Section 8 — Third-Party Links

The Services may contain material and links to websites operated by third parties, including embedded third-party functionality. We are not responsible for examining or evaluating the content or accuracy of any third-party material or websites, and we do not accept liability for them. If you choose to access these materials or sites, you do so at your own risk.

We are not liable for any harm or loss related to your use of third-party websites, or your purchase or use of any products or services on them. Please review the third party's own policies before entering into any transaction, and direct any complaints or questions about third-party products and services to the relevant third party.

Section 9 — Relationship with Shopify

[Note to merchant: this section accurately characterises Shopify's relationship with your store and should not be removed or modified.]

Steadfast is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our store are made directly with Steadfast. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Steadfast, including any injury, damage or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages and liabilities arising from or related to your purchases and transactions with Steadfast.

Section 10 — Privacy Policy

All personal information we collect through the Services is subject to our Privacy Policy [LINK], and certain personal information may be subject to Shopify's Privacy Policy. By using the Services, you acknowledge that you have read these privacy policies.

Because the Services are hosted by Shopify, Shopify collects and processes personal information about your access to and use of the Services in order to provide and improve them. Information you submit to the Services may be transmitted to and shared with Shopify and with third parties who may be located in countries outside the UK, in order to provide the Services to you. Any such transfers are handled in accordance with UK data protection law. Please see our Privacy Policy [LINK] for details of how we, Shopify and our partners use your personal information.

Section 11 — Feedback

If you submit, upload, post, email or otherwise send us any ideas, suggestions, feedback, reviews, proposals, plans or other content ("Feedback"), you grant us a perpetual, worldwide, sub-licensable, royalty-free licence to use, reproduce, modify, publish, distribute and display that Feedback in any medium for any purpose, including commercial use, for example to operate, evaluate, improve and promote the Services. This licence does not affect any moral rights you may have.

You confirm that: (i) you own or have all necessary rights to the Feedback; (ii) you have disclosed any compensation or incentive received in connection with it; and (iii) your Feedback complies with these Terms. We are under no obligation to keep Feedback confidential, to pay for it, or to respond to it.

We may, but are not obliged to, monitor, edit or remove Feedback we consider to be unlawful, offensive, threatening, defamatory, obscene or otherwise objectionable, or that infringes anyone's rights or these Terms.

You agree that your Feedback will not infringe the rights of any third party, including copyright, trade mark, privacy or other rights, and will not be defamatory, unlawful, abusive or obscene, or contain any virus or malware. You may not use a false email address, impersonate anyone, or mislead us or others about the origin of any Feedback. You are solely responsible for any Feedback you submit and its accuracy.

Section 12 — Errors, Inaccuracies and Omissions

Occasionally there may be information in the Services that contains typographical errors, inaccuracies or omissions relating to product descriptions, pricing, promotions, offers, delivery charges, delivery times or availability. We reserve the right to correct any such errors and to change or update information, or cancel orders, if any information is inaccurate at any time without prior notice, including after you have submitted your order.

Where we cancel an order that you have already paid for because of an error, we will refund you in full for that order. This does not affect your statutory rights.

Section 13 — Prohibited Uses

You may access and use the Services for lawful purposes only. You may not access or use the Services, directly or indirectly: (a) for any unlawful or malicious purpose; (b) to breach any applicable law or regulation; (c) to infringe our intellectual property rights or those of others; (d) to harass, abuse, insult, harm, defame, intimidate or otherwise mistreat our staff or any other person; (e) to transmit false or misleading information; (f) to send, receive, upload, download or re-use any material that does not comply with these Terms; (g) to transmit or procure the sending of any advertising or promotional material, including junk mail, chain letters or spam; (h) to impersonate any person or entity; or (i) to engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which may harm Steadfast, Shopify or users of the Services, or expose them to liability.

You also agree not to: (a) upload or transmit viruses or other malicious code; (b) reproduce, duplicate, copy, extract, sell, resell or exploit any part of the Services; (c) collect or track the personal information of others; (d) spam, phish or pretext the Services; (e) use any robot, spider, scraper, data-gathering or extraction tool, AI tool (such as agentic AI) or other automated means to access the Services; or (f) interfere with, bypass or circumvent the security features, robot exclusion headers or other measures we use to restrict access to the Services. We may suspend, disable or terminate your account at any time, without notice, if we determine that you have breached any part of these Terms.

Section 14 — Agents

14.1 This section ("Agent Terms") applies if you use, allow, enable or cause the deployment of an Agent to access, use or interact with any Services. "Agent" means any software or service that takes autonomous or semi-autonomous action on behalf of, or at the instruction of, any person or entity, and that can be run on behalf of or using a person's device, without direct supervision.

14.2 No Agent may access, use or interact with the Services unless, at all times, it identifies itself and operates strictly in accordance with the requirements in section 14.4 below. In addition, no Agent may access, use or interact with the Services if we have asked it to refrain from doing so.

14.3 We may limit, including by technical measures, whether and how any Agent accesses, uses and interacts with the Services.

14.4 Agents must: (i) in all HTTP/HTTPS requests, identify that the request is from an Agent and disclose the Agent's name by including the following in the request's user-agent string: "Agent/[agent name]"; (ii) not conceal or obfuscate that any access, use or interaction is from an Agent, for example by (a) mimicking human behaviour and interaction patterns, or (b) completing or circumventing CAPTCHAs or other measures intended to distinguish computer use from humans; (iii) respond truthfully to any question or prompt seeking to determine whether interactions are coming from a human or a computer; and (iv) not circumvent or avoid any measure intended to block, limit, modify or control whether and how Agents access, use or interact with the Services.

Section 15 — Termination

We may terminate this agreement or your access to the Services (or any part of them) at our discretion at any time, and you will remain liable for all amounts due up to and including the date of termination. Where you have already paid for goods that we have not yet delivered at the point of termination, we will refund you for those goods unless we are terminating because of your breach of these Terms. This does not affect your statutory rights.

The following sections continue to apply after any termination: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver and Entire Agreement, Assignment, Governing Law, Privacy Policy, and any other provisions that by their nature should survive termination.

Section 16 — Disclaimer of Warranties

The information presented through the Services is provided for general information purposes only. We do not warrant that this information is accurate, complete or useful, and any reliance you place on it is at your own risk.

Except as expressly stated by Steadfast, and without affecting your statutory rights as a consumer, the Services and all products offered through the Services are provided on an "as is" and "as available" basis, without any representations, warranties or conditions of any kind, whether express or implied, so far as the law allows. We do not guarantee that your use of the Services will be uninterrupted, timely, secure or error-free.

Nothing in this section limits or excludes: your statutory rights under the Consumer Rights Act 2015 (including that goods will be of satisfactory quality, fit for purpose and as described); any warranty or guarantee we give you in relation to a product; or any liability that cannot be limited or excluded under English law.

Section 17 — Limitation of Liability

Nothing in these Terms excludes or limits our liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; any breach of your statutory rights in relation to the goods (including under the Consumer Rights Act 2015); or any other liability that cannot be excluded or limited under English law.

Subject to the paragraph above, and to the fullest extent permitted by law, Steadfast and its partners, directors, officers, employees, affiliates, agents, contractors, service providers and licensors (and those of Shopify and its affiliates) will not be liable for any loss or damage that is not reasonably foreseeable, or for any loss or damage that arises because you are using the products for commercial or business purposes.

If you are a consumer, we are responsible for loss or damage you suffer that is a foreseeable result of our breach of these Terms or our negligence, but we are not responsible for any loss or damage that was not foreseeable at the time you entered into the contract. Loss or damage is foreseeable if either it is obvious that it will happen, or if, at the time the contract was made, both we and you knew it might happen.

Section 18 — Indemnification

If you use the Services in breach of these Terms or otherwise unlawfully, you agree to indemnify and hold harmless Steadfast, Shopify and our respective affiliates, partners, officers, directors, employees, agents, contractors, licensors and service providers from any losses, damages, liabilities or claims, including reasonable legal fees, arising from: (1) your breach of these Terms of Service or the documents they incorporate by reference; (2) your breach of any law or the rights of a third party; or (3) your access to and use of the Services.

This section does not apply to the extent that a loss or claim results from our own breach, negligence or wrongdoing, and it does not affect your statutory rights as a consumer.

We will notify you of any claim covered by this section, provided that a failure to notify promptly will not relieve you of your obligations unless you are materially prejudiced. We may take control of the defence and settlement of such a claim at your expense, including the choice of legal advisers, but we will not settle any claim requiring non-monetary obligations from you without your consent (not to be unreasonably withheld). You agree to cooperate in the defence of covered claims, including by providing relevant documents.

Section 19 — Severability

If any provision of these Terms of Service is found to be unlawful, void or unenforceable, that provision will nonetheless be enforceable to the fullest extent permitted by law, and the unenforceable part will be treated as severed from these Terms. This will not affect the validity or enforceability of the remaining provisions.

Section 20 — Waiver and Entire Agreement

Our failure to exercise or enforce any right or provision of these Terms of Service will not be a waiver of that right or provision.

These Terms of Service, and any policies or operating rules we post on this site or in respect of the Services, make up the entire agreement between you and us and govern your use of the Services, superseding any prior agreements, communications and proposals, whether oral or written, between you and us (including any prior versions of these Terms of Service). This does not exclude liability for any statement made fraudulently.

Section 21 — Assignment

You may not transfer or assign this agreement, or any of your rights or obligations under these Terms, without our prior written consent, and any such attempt will be void. We may transfer, assign or delegate these Terms and our rights and obligations, provided this does not affect your rights under these Terms. If we do so, we will tell you in writing.

Section 22 — Governing Law and Jurisdiction

These Terms of Service, and any separate agreements under which we provide you the Services, are governed by and construed in accordance with the laws of England and Wales.

If you are a consumer, you and we agree that the courts of England and Wales will have jurisdiction, except that if you live in Scotland you may bring proceedings in the Scottish courts, and if you live in Northern Ireland you may bring proceedings in the Northern Irish courts. Nothing in this section affects your statutory rights.

Section 23 — Headings

The headings in this agreement are included for convenience only and do not limit or otherwise affect these Terms.

Section 24 — Changes to Terms of Service

You can review the most current version of the Terms of Service at any time on this page.

We reserve the right, at our discretion, to update, change or replace any part of these Terms of Service by posting updates to our website. It is your responsibility to check this page from time to time for changes. We will notify you of any material changes in accordance with applicable law, and such changes will take effect on the date specified in the notice. Orders you have already placed will be governed by the Terms in force at the time you placed them.
